1. Geltungsbereich
Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Verträge zwischen Graham Miranda UG (haftungsbeschränkt) und dem Kunden, soweit nicht etwas anderes schriftlich vereinbart wurde.
2. Vertragsschluss
Der Vertrag kommt durch die Annahme des Angebots des Kunden durch Graham Miranda UG zustande. Angebote von Graham Miranda UG sind freibleibend.
3. Leistungen
Graham Miranda UG erbringt IT-Dienstleistungen, insbesondere Webhosting, eSIM-Services, SEO, IT-Beratung, Managed IT Services und Webentwicklung. Die genauen Leistungen ergeben sich aus dem jeweiligen Servicevertrag.
4. Vergütung
Die Vergütung richtet sich nach dem jeweils vereinbarten Preis. Alle Preise verstehen sich zuzüglich der gesetzlichen Mehrwertsteuer.
5. Zahlungsbedingungen
Rechnungen sind innerhalb von 14 Tagen ohne Abzug zu zahlen. Bei Zahlungsverzug behält sich Graham Miranda UG das Recht vor, Leistungen zu sperren.
6. Haftung
Die Haftung von Graham Miranda UG ist auf Vorsatz und grobe Fahrlässigkeit beschränkt. Die Haftung für leichte Fahrlässigkeit ist ausgeschlossen, außer bei Verletzung wesentlicher Vertragspflichten.
7. Kündigung
Der Vertrag kann von beiden Parteien mit einer Frist von 30 Tagen zum Monatsende gekündigt werden. Das Recht zur fristlosen Kündigung bei erheblichen Verstößen bleibt unberührt.
8. Schlussbestimmungen
Es gilt das Recht der Bundesrepublik Deutschland. Gerichtsstand ist Blankenburg (Harz), soweit der Kunde Kaufmann ist.

1. Scope
These Terms and Conditions apply to all contracts between Graham Miranda UG (haftungsbeschränkt) and the customer, unless otherwise agreed in writing.
2. Contract Formation
The contract is formed when Graham Miranda UG accepts the customer's offer. Offers from Graham Miranda UG are subject to confirmation.
3. Services
Graham Miranda UG provides IT services, including web hosting, eSIM services, SEO, IT consulting, managed IT services, and web development. The specific services are defined in the respective service contract.
4. Remuneration
Remuneration is based on the agreed price. All prices are exclusive of statutory VAT.
5. Payment Terms
Invoices are payable within 14 days without deduction. In case of payment default, Graham Miranda UG reserves the right to suspend services.
6. Liability
Graham Miranda UG's liability is limited to intent and gross negligence. Liability for slight negligence is excluded, except for breach of essential contractual obligations.
7. Termination
Either party may terminate the contract with 30 days' notice to the end of the month. The right to terminate for cause remains unaffected.
8. Final Provisions
The laws of the Federal Republic of Germany apply. Place of jurisdiction is Blankenburg (Harz), provided the customer is a merchant.
